Term: Thirty (30) days ("Initial Term"), automatically renewing for successive thirty (30) day periods unless terminated by either Party subject to Clause 12.

Territory: The universe.

The Revenue Share shall be Eighty Percent (80%) payable to you.

Sound Recordings: You own and/or control 100% of the sound recordings delivered to Lynx Distribution, including all copyrights ("Masters").

Compositions: You either own the compositions embodied in the Masters or have obtained all required mechanical licenses and permissions.

Additional Works: You may include other audiovisual or visual works. The Masters, Compositions, and Additional Works are collectively the "Content." Nothing in this Agreement requires you to deliver any Content.

You grant Lynx Distribution the exclusive rights during the Term to create digital copies of the Content and distribute, sell, and publicly perform it via all electronic, digital, and mobile platforms. These rights include:

1. Streaming the Content on Lynx Distribution Partners' platforms;
2. Publicly displaying lyrics for download;
3. Collecting monies from SoundExchange for the Rights Owner's Share;
4. Releasing, advertising, and selling electronic files of the Content;
5. Issuing blanket sync licenses to Partners (e.g. YouTube Content ID);
6. On a non-exclusive basis, authorizing remixes and DJ Mixes;
7. On a non-exclusive basis and subject to your prior approval, entering into master use sync licenses for film, TV, video games, etc.;
8. Rolling up your existing YouTube, Audiomack, and SoundCloud profiles under Lynx Distribution's partnerships for monetization. You remain in full control of your accounts at all times.

Unless otherwise instructed in writing, Lynx Distribution shall have the non-exclusive right to market the Content for promotional purposes without additional compensation. You grant Lynx Distribution the right to use your approved likeness, biography, photos, and other promotional materials ("NIL Materials") solely in connection with marketing the Content.

Lynx Distribution shall pay you the Revenue Share of Revenue actually received from exploitation of the Content. All payments shall be made via ACH as selected during sign-up.

If Lynx Distribution has reason to suspect fraudulent activity — including artificially inflating streams, plays, or views — Lynx Distribution may immediately terminate this Agreement with no obligation to pay Revenue for such activity.

Any advance made by Lynx Distribution shall be non-returnable but recoupable from sums payable to you.

You consent to receive electronic 1099s where applicable and are solely responsible for paying all applicable taxes arising from your activities under this Agreement.

Statements are binding unless specific written objection is given within three (3) years. You have one (1) year from each statement date to inspect Lynx Distribution's books, conducted by Deloitte, Ernst & Young, KPMG, or PricewaterhouseCoopers, with at least thirty (30) days' prior written notice.

Both parties shall keep the terms of this Agreement confidential during and after the Term. Either party may reference the existence of the Agreement but shall not disclose specific terms, payment provisions, or other confidential information without prior written consent.

You warrant and represent that:

1. You possess all rights in and to the Content to enable Lynx Distribution to use it as contemplated;
2. You have full right, power, and authority to enter into this Agreement;
3. The Content contains no unauthorized Samples;
4. You have obtained all required mechanical licenses for the Compositions;
5. You shall make all payments due to artists, producers, musicians, writers, and publishers whose work is embodied in the Content.

Each Party shall indemnify and hold harmless the other from losses arising from a breach of that Party's representations and warranties. Lynx Distribution may withhold Revenue payments upon receipt of a claim that, if true, would represent a breach of your warranties, until the claim is resolved.

After the Initial Term, either Party may terminate upon thirty (30) days' written notice. Upon termination, Lynx Distribution retains rights for the later of recoupment of any Advance or one (1) year, after which all distribution of the Content shall cease within sixty (60) days.

If Lynx Distribution files for Chapter 7 or Chapter 11 bankruptcy, termination is immediate and all Content shall be returned to you.

Unresolved disputes shall be settled by arbitration. In any claim, you shall be limited to money damages equal to monies actually earned by Lynx Distribution from exploitation of the Content.

Note: You agree and understand that you hereby waive your right to a jury trial.

Lynx Distribution is not required to accept any Content submitted. Rights only apply once Lynx Distribution officially accepts Content or begins exploitation.

This Agreement is governed by the laws of the Republic of Ghana.

This Agreement constitutes the entire understanding between the parties and may only be modified by a written agreement signed by all parties. You confirm you enter into this Agreement freely and with full understanding of its terms.
